1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of Sysinfy's website at https://demo.sysinfy.com and all services provided by Sysinfy ("Company," "we," "us," or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms.

2. Services Offered

Sysinfy provides the following services to startups, small businesses, and enterprises:

  • Website Design and Development
  • Mobile Application Development (Android & iOS)
  • Custom Software Development
  • E‑Commerce Solutions and Payment Gateway Integration
  • Domain Name Registration
  • Web Hosting and Email Hosting
  • Website Maintenance and Support
  • Professional Logo and Graphic Design
  • Digital Marketing, SEO Optimization
  • SMS and Email Marketing Services

The scope, timeline, and cost of each service will be defined in a separate project proposal or service agreement.

3. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information necessary for project completion
  • Review and provide timely feedback on deliverables within agreed timeframes
  • Ensure all materials provided (images, content, logos) are owned by you or properly licensed
  • Not request content or features that are illegal, harmful, or infringe third‑party rights
  • Maintain confidentiality of any login credentials provided to you

4. Project Execution

4.1 Project Scope

All projects are governed by the scope defined in the written proposal or agreement. Any changes to the agreed scope (additions, modifications) may result in additional charges and timeline adjustments, communicated in advance via a change order.

4.2 Timelines

Project timelines are estimates and depend on timely feedback, content submission, and cooperation from the client. Delays caused by the client may extend the project timeline without penalty to Sysinfy.

4.3 Revisions

Each project includes a defined number of revision rounds as specified in the project agreement. Revisions beyond the included rounds will be billed at our standard hourly rate.

5. Payment Terms

  • A non‑refundable advance payment (as specified in the project proposal) is required before work commences
  • Milestone‑based payments apply to larger projects as outlined in the project agreement
  • Final payment is due before delivery of completed project files or go‑live
  • Invoices are due within 7 days of issuance unless otherwise agreed in writing
  • Overdue payments may incur a late fee of 1.5% per month
  • Sysinfy reserves the right to suspend or withhold services for overdue accounts

6. Intellectual Property

6.1 Client Content

You retain ownership of all content, materials, trademarks, and data you provide to us. You grant us a limited license to use such content solely to deliver the agreed services.

6.2 Deliverables

Upon receipt of full payment, ownership of custom deliverables (website designs, code, graphics) transfers to you. Until full payment is received, all work product remains the property of Sysinfy.

6.3 Sysinfy Portfolio Rights

We reserve the right to showcase completed projects in our portfolio and marketing materials unless you request otherwise in writing prior to project completion.

7. Hosting and Domain Services

  • Hosting and domain registration services are subject to annual renewal fees
  • We are not liable for downtime caused by third‑party hosting infrastructure beyond our control
  • Domain names are registered in the client's name and are the client's property
  • Non‑renewal of hosting or domains may result in service termination and data loss

8. Confidentiality

Both parties agree to keep confidential any proprietary information, business data, or trade secrets disclosed during the engagement. This obligation survives termination of the service agreement.

9. Limitation of Liability

To the maximum extent permitted by law, Sysinfy shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including but not limited to loss of revenue, data, or business opportunities. Our total liability shall not exceed the fees paid by you for the specific service giving rise to the claim.

10. Warranties and Disclaimer

We strive to deliver high‑quality services. However, we do not warrant that our services will be error‑free, uninterrupted, or meet all your specific requirements. Services are provided "as is" within the agreed project scope.

11. Termination

Either party may terminate a service agreement with written notice. Upon termination:

  • The client is liable for payment for all work completed up to the termination date
  • Sysinfy will deliver completed work proportionate to the payment received
  • Advance payments for incomplete work are subject to the Refund Policy

12. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Mysore, Karnataka, India.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Updated Terms will be posted on our website. Continued use of our services after changes constitutes your acceptance of the revised Terms.
